Denelle LU is a partner at Dentons Shanghai Office. Before joining Dentons in 2024, she worked for many years at another top-tier Chinese law firm (Fangda Partners). Her primary practice areas include cross-border and domestic M&A transactions, as well as PE/VC investments and financings. She also has rich experience in offshore projects and structuring, including FDI and ODI projects, foreign capital markets, corporate governance, onshore and offshore restructuring. She also has extensive experience in equity structure design, red-chip structure analysis, employee equity incentives, and foreign exchange compliance.

- Represented Alibaba, Ant Financial, and the Local Life Group (Ele.me and Koubei) and their related entities in providing legal services for their investments in new economy companies such as Xiaohongshu (小红书), bilibili, Zstack, Renliwo, Haosheng, Huashengji, Ganjie.com, etc., in the fields of Internet, technology, new retail, new consumption, and cloud services.
- Represented Matrix China in participating in private equity and venture capital investments in life sciences and filtration environmental protection industries, such as Elion, Yikai Technology, Science Compass, Ronovo Surgical Robotics, and Zhao Yang Doctor.
- Represented Budweiser China in providing full-process legal services for its strategic cooperation and financing with Erweihuo.
- Represented AstraZeneca CICC and CICC Capital and their related fund investments in companies such as Shenrui Medical and Beiyun Technology, as well as other semiconductor companies.
- Represented Amber Group, a well-known Asian cryptocurrency market maker, in its financing legal affairs, including multiple rounds of financing since Series A and the group's structural reorganization.
- Represented Warburg Pincus, Hillhouse Capital, PAG Capital, Primavera Capital, Houpu Capital, Challenger Capital, Yunqi Capital, IDG Capital, SIG, AIF Capital, Huachang Yida Capital, Olympus Capital, and Yanchuang Capital in providing legal services for investments and financing in various fields such as life sciences, manufacturing, environmental protection technology, new energy, and autonomous driving.

- Represented FountainVest Partners in leading a consortium to complete a majority equity investment in SPT Group (a leading Swiss ceramics and chemical enterprise).
- Represented Swire Beverages in the acquisition and restructuring of Coca-Cola's bottling and concentrate businesses in China.
- Represented Starbucks in acquiring a 50% equity stake in its East China business.
- Represented Alibaba in acquiring controlling stakes in RT-Mart/Auchan, Ele.me, and Ele.me's acquisition of Baidu Waimai (i.e. supermarket, food retailing and online platform industries).
- Represented a PE group (Affinity Equity Partners) in its acquisition of the equity of Lock&Lock's manufacturing entities in China.
- Represented Huazhu Group in acquiring Crystal Orange Hotel Group for RMB 3.65 billion.
- Represented Air Products in its proposed acquisition of a controlling stake in a state-owned industrial gas producer.
- Represented Johnson Electric in its acquisition of a majority stake in a powder metallurgy factory.

- Acted as China legal advisor for Budweiser Asia Pacific (the holding company operating Budweiser Group's Asia business) in its pre-listing reorganization, Hong Kong IPO, and global stock offering.
- Represented Alibaba Group Holding Limited (NYSE: BABA) in its global offering and secondary listing on the Hong Kong Stock Exchange.
- Represented JOYY Inc. as its China legal advisor for its 20-F annual report, restructuring, and other red-chip structure adjustments.
- Represented FountainVest Partners in selling all shares of Taiping Bird (603877.SH, a leading consumer manufactory) to the controlling shareholder and achieving exit.
- Provided legal services for various companies on domestic and overseas restructuring, equity structure design, red-chip structure analysis, employee equity incentives, and forex compliance.
