Mr. Ray Zhan and his team focus their practice primarily on the areas of hi-tech law, IP, M&A and restructuring, PE/VC, and wealth management. Ray has nearly 20 years experience in the practice of law.
Project Experience
- Advised Shanghai MediWorks Precision Instruments Co., Ltd., Ningbo Solartron Technology Co., Ltd., Nantong Lingjiufeng Plastic Co., Ltd., Marks Network Technology Co., Ltd.branches based in the United States and Shanghai, Shanghai Tianyue Electromechanical Technology Co., Ltd., Shanghai Haoyang Network Technology Co., Ltd. and other high-tech businesses on patent infringement litigation and patent and trademark protection;
- Advised Shanghai Xiaoling Network Technology Co., Ltd., Chongqing Shangzhou Medical Technology Co., Ltd., Guangzhou Zhizaojia Network Technology Co., Ltd., Shengtuo Medical Technology (Shanghai) Co., Ltd., Shanghai Guotong Shiguang Qixu Network Technology Co., Ltd. (with PWC), and Xinjiang Tianwei Antai Environmental Engineering Co., Ltd. on strategic planning and shareholding structure, equity incentive plans and system design and implementation, shareholding platform, and option contract arrangements;
- Advised listed companies Zhejiang Jiaao Enprotech Stock Co., Ltd., Opple Lighting Co. Ltd., Shanghai Livzon Pharmaceutical Group Inc., and BVI Leading Manufacturing on M&A and equity matters; advised Excelsior Medical (Hong Kong) Co., Ltd. on its acquisition of a national medical group and hospitals across the country; advised many listed companies and MNCs on their acquisitions across the industrial sectors of chemical engineering, computer chips, medical and healthcare, alcohol, environmental protection, and financial information technology;
- Advised Shanghai Zhongfeng Intelligent Technology Co., Ltd. and many other tech companies on multiple rounds of financing, restructuring and reorganization, offshore VIE structure, and listing on the Main Board, the National Equities Exchange and Quotations, and the Growth Enterprise Market;
- Advised a financial group on its acquisition of the US-based Invesco REITs (for USD 1 billion); provided legal services for the fund raising and setup of a RMB 1 billion Softbank growth equity investment fund;
- Acts as long-term legal advisor to listed companies Opple Lighting Co., Ltd., Shanghai Huaxin Puhe Asset Management Co., Ltd., Shanghai Ronghan Financial Information Services Co., Ltd., Shanghai Zexue Education Technology Co., Ltd., Guizhou Venture Capital Fund, and other enterprises and government authorities, based on retainer arrangements;
- Serves as a guest lecturer of Chinese entrepreneurs’ wealth management and inheritance at the Lujiazui Wealth Management Center, a mentor for the Intel WECAN Startup Accelerator and CAS Kejia Startup Accelerator, a judge for Slush China, and a long-term legal expert guest for the program See the World from a Legal Perspective of the Radio and Television Station of Shanghai.
